1. File Form 401:

Complete and submit Form 401, Statement of Change of Registered Office/Agent, available on the Texas Secretary of State website. 

 

2. Submit to the SOS:

You can submit the form online through SOSDirect, by mail, fax, or in person. 

 

3. Pay the Filing Fee:

Pay The filing to the SOS.

 

4. New Registered Agent Consent:

The new registered agent must consent to serve in that capacity, typically by signing Form 401-A, Acceptance of Appointment and Consent to Serve as Registered Agent. 

 

5. Check Your Business Status:

After submitting the change, you should check your business status with the Texas Comptroller. 

Important Considerations:

  • Registered Agent Responsibilities:

    A registered agent is the point of contact for legal notices, official communications, and service of process for your LLC. 

  • Availability:

    The registered agent must be available during normal business hours at the address provided. 

  • Multiple Entities:

    If you have multiple entities with the same registered agent, the filing fee may be calculated based on the number of entities listed, with a maximum fee per entity type.
